Agreement

By accessing or using the Optimizer service ("Service") operated by Optimizer Inc. ("we," "our," or "Optimizer"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

Service description

Optimizer provides analysis and recommendations to help local businesses improve their online visibility, including SEO, user experience, Google Business Profile, and AI search presence. We may add, change, or discontinue features from time to time. We do not guarantee uninterrupted or error-free service.

Account and eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. You agree to provide accurate information and to keep your account credentials secure. You are responsible for all activity under your account.

Acceptable use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws.
• Abuse, overload, or attempt to gain unauthorized access to our systems or other users' accounts.
• Scrape, reverse engineer, or attempt to extract source code or data from the Service except as permitted by law.
• Resell, sublicense, or commercially exploit the Service without our written consent.
• Use the Service in a way that harms other users, third parties, or the Service itself.

We may suspend or terminate your access if we reasonably believe you have violated these Terms or acceptable use.

Your content and license to us

You retain ownership of content you submit (e.g. business information, URLs, chat messages). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display that content as necessary to provide the Service and to improve our products, in accordance with our Privacy Policy.

Our intellectual property

Optimizer owns the Service, our branding, and all materials we provide (excluding your content). Nothing in these Terms transfers any of our intellectual property rights to you. You may not use our trademarks or branding without our prior written consent.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE ACCURATE, COMPLETE, OR UNINTERRUPTED. OUR ANALYSIS AND RECOMMENDATIONS ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL ADVICE (INCLUDING LEGAL, TAX, OR BUSINESS ADVICE). YOU USE THE SERVICE AT YOUR OWN RISK.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE (AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability; in such cases, our liability will be limited to the maximum extent permitted by law.

Indemnity

You agree to indemnify and hold harmless Optimizer and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your content, or your breach of these Terms.

Governing law and disputes

United States / California

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of such courts.

International users

If you are located outside the United States, you may have mandatory consumer rights under the laws of your country that cannot be waived. Nothing in these Terms limits those rights where applicable. Otherwise, the governing law and venue provisions above apply to the extent permitted by your local law.

Termination

We may suspend or terminate your access to the Service at any time for breach of these Terms or at our discretion. You may stop using the Service at any time and may request deletion of your account and data by contacting us. Upon termination, your right to use the Service ceases. We are not obligated to refund any prepaid fees upon termination. Provisions that by their nature should survive (including disclaimers, limitation of liability, indemnity, and governing law) will survive termination.

Changes to these terms

We may change these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. For material changes, we may notify you by email or a notice on the Service. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.

General

These Terms constitute the entire agreement between you and Optimizer regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right does not waive that right. We may assign these Terms or our rights hereunder; you may not assign without our prior written consent.
